1 Acceptance, operator, and scope
These Terms of Use (“Terms”) form a binding agreement between you and Asuccini LLC, doing business as Freight Transportation Manager (“FTM,” “we,” “us,” or “our”). They govern your access to and use of ftm.cloud, including the blog, guides, glossary, integration pages, document resources, forms, embedded scheduling, chatbot, demos, and other public features (collectively, the “Site”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Important product distinction: These Terms govern the public website. Purchase, implementation, licensing, support, security commitments, service levels, and use of the FTM software are governed by the applicable order form, subscription agreement, statement of work, data processing addendum, or other written customer agreement. If those documents conflict with these Terms regarding a paid service, the signed customer documents control.
2 Eligibility and business use
The Site is intended primarily for business and professional audiences. You must be at least 18 years old, or the age of legal majority where you live, and able to enter a binding agreement. The Site is not directed to children under 16.
You are responsible for ensuring that your use of the Site complies with laws and rules that apply to you, including trade controls, sanctions, privacy, communications, and intellectual-property laws. You may not use the Site if applicable law prohibits you from doing so.
3 Limited permission to use the Site
Subject to these Terms, FTM grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable permission to access and use the Site for lawful internal business evaluation, education, and communication with FTM.
You may print or save a reasonable number of public pages for internal business use, provided that you keep all copyright, trademark, attribution, and other notices intact. No other right or license is granted by implication, estoppel, or otherwise.
4 Prohibited conduct
You may not, and may not help another person to:
- Use the Site for unlawful, fraudulent, deceptive, abusive, defamatory, infringing, or harmful activity.
- Interfere with the Site, overload it, introduce malware, test vulnerabilities without written authorization, bypass security controls, or attempt unauthorized access.
- Impersonate another person or organization, misrepresent an affiliation, submit false lead information, or use another person’s contact details without authority.
- Use bots, scrapers, crawlers, or automated means to extract Site content at a volume or in a manner that disrupts the Site, circumvents controls, or creates a competing dataset or service.
- Copy, republish, sell, license, distribute, frame, mirror, or commercially exploit substantial portions of the Site except with our written permission or as law expressly permits.
- Reverse engineer, decompile, or attempt to derive source code from Site software except to the limited extent such restriction is prohibited by law.
- Remove or alter copyright, trademark, confidentiality, or attribution notices.
- Use Site content, names, logos, or screenshots to imply sponsorship, endorsement, certification, or partnership without written authorization.
- Submit confidential freight records, regulated personal information, passwords, payment-card information, or malicious code through public forms or the chatbot.
- Use the Site to build, train, benchmark, or improve a competing commercial model, product, or database using systematic extraction of FTM content, unless we authorize it in writing.
Public search engines may index publicly available pages in the ordinary course, subject to our technical controls. We reserve all rights regarding automated access not expressly granted.
5 Forms, scheduling, chatbot, and submissions
When you submit a form, request a demo, schedule a meeting, join a mailing list, use the chatbot, or otherwise communicate through the Site, you agree to provide accurate and current information. You represent that you have the right to provide the information and that doing so does not violate another person’s rights or any duty of confidentiality.
You grant FTM a worldwide, non-exclusive, royalty-free right to host, reproduce, transmit, and use the content of your submission only as reasonably necessary to respond, provide the requested interaction, operate and secure the Site, maintain business records, and exercise our legal rights. This does not transfer ownership of your pre-existing materials to FTM.
Do not treat a public Site form or chatbot as an emergency, secure data room, customer support ticket containing sensitive production data, or legally privileged communication. Existing customers should use the designated support channel and follow their customer agreement.
Electronic communications
You consent to receive transactional electronic communications needed to answer your request, confirm a meeting, or provide requested information. Where legally permitted and based on your choices, we may also send marketing communications. You can unsubscribe from marketing at any time. Unsubscribing does not stop non-marketing communications related to an active inquiry, agreement, or support matter.
6 Site content, demos, estimates, and availability
Site content is provided for general informational and product-evaluation purposes. Features, workflows, integrations, implementation timing, pricing, availability, screenshots, metrics, examples, and roadmaps may vary by customer requirements, Salesforce environment, configuration, subscription, third-party service, region, and written scope.
Calculators, sample dashboards, performance figures, savings estimates, margin assumptions, timelines, use cases, and other illustrative outcomes are examples, not guarantees. Actual results depend on your data, operations, adoption, configuration, integrations, and other factors. A product commitment is binding only when it appears in a written agreement signed by an authorized representative of Asuccini LLC.
We may update, correct, suspend, withdraw, or change Site content or functionality at any time. We do not promise that every page, link, integration reference, or feature will always be available, current, complete, or error-free.
No operational advice: Site content is not legal, tax, accounting, insurance, customs, safety, brokerage, carrier-compliance, or transportation-operating advice. You remain responsible for professional advice, regulatory decisions, shipment execution, and business controls.
7 Third-party services, links, and integrations
The Site may link to, display, or embed third-party services and content, including Salesforce AppExchange, Calendly, Google services, Cloudflare, YouTube, logistics integrations, and partner websites. Third-party services are governed by their own terms, privacy notices, availability, and security practices.
We do not control and are not responsible for third-party websites, products, content, or changes. A reference to an integration, company, product, or trademark does not by itself mean that the third party sponsors, endorses, or guarantees FTM. Availability and scope of an integration must be confirmed in the applicable written agreement.
8 Intellectual property and trademarks
The Site and its original content, design, layout, graphics, code, product descriptions, documentation, logos, and other materials are owned by or licensed to Asuccini LLC and are protected by intellectual-property laws. “FTM,” “Freight Transportation Manager,” related logos, and other FTM brand elements are trademarks or brand assets of Asuccini LLC.
Salesforce, AppExchange, and other third-party names and logos belong to their respective owners. Use of those marks is for identification and does not transfer ownership or imply endorsement beyond an expressly stated relationship.
Feedback
If you voluntarily provide an idea, suggestion, or feedback about the Site or FTM without a separate written confidentiality obligation, you grant Asuccini LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use and incorporate that feedback for any lawful purpose without compensation or attribution. This does not authorize us to identify you publicly without permission.
9 Privacy, cookies, and GDPR
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information, including GDPR rights and applicable California or other U.S. privacy rights. Our Cookie Policy explains cookies and consent choices. These policies are incorporated into these Terms by reference.
You must not use the Site to collect or process another person’s personal information unlawfully. If you provide personal information about another person, you represent that you have a lawful basis and any required notice or permission.
10 Suspension and termination
We may restrict, suspend, or terminate your access to all or part of the Site if we reasonably believe you violated these Terms, created security or legal risk, abused a feature, or interfered with the Site or another user. We may preserve relevant information where required for security, legal compliance, dispute resolution, or enforcement.
Provisions that by their nature should survive termination will survive, including intellectual property, feedback, disclaimers, limitations of liability, indemnity, governing law, and general legal provisions.

11 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ASUCCINI LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT CONTENT WILL MEET YOUR REQUIREMENTS, OR THAT THE SITE OR ITS SERVERS ARE FREE OF HARMFUL COMPONENTS. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
12 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASUCCINI LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ASUCCINI LLC FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PUBLIC SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID ASUCCINI LLC, IF ANY, SPECIFICALLY FOR USE OF THE PUBLIC SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the extent permitted by law. Liability relating to a paid FTM service is governed by the applicable customer agreement, not this public Website limitation.
13 Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Asuccini LLC and its affiliates, officers, employees, and contractors from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of another person’s rights. We may control the defense of a matter subject to indemnity, and you agree to cooperate reasonably. You may not settle a claim in a way that admits liability for or imposes obligations on us without our written consent.
14 Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any non-waivable rights under applicable law, the state and federal courts located in Orange County, California will have exclusive jurisdiction over disputes arising from these Terms or the Site, and you consent to personal jurisdiction and venue in those courts.
Nothing in these Terms prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, or systems.
15 Changes to the Site or these Terms
We may revise these Terms to reflect changes in the Site, our practices, or applicable law. The revised Terms will be posted on this page with an updated date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Site after the effective date of revised Terms means you accept them.
If you do not agree to revised Terms, stop using the Site. Changes to a signed customer agreement require the process stated in that agreement and are not made through these Website Terms.
16 General legal provisions
- Entire agreement. These Terms and the policies incorporated by reference are the entire agreement regarding the public Site, except for a separate written agreement that expressly applies.
- Severability. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
- No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, financing, acquisition, or sale of assets.
- No agency. These Terms do not create employment, partnership, joint venture, franchise, fiduciary, or agency relationships.
- Headings. Headings are for convenience and do not affect interpretation.
- Electronic form. Electronic acceptance and records have the same effect as paper records to the extent allowed by law.
